Terms of Service

1 – Acceptance of the Terms
By creating a SeekFirst account or using any of our services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Services. You must be at least 13 years of age and have the legal capacity to enter into these Terms.
2 – Account Registration & Security
2.1 Account Creation
You agree to provide accurate, complete information when creating your account. You may sign up using an email/password combination or via Google or Microsoft OAuth. You are responsible for maintaining the security of your account credentials. Notify us immediately of any unauthorized use of your account.
2.2 Account Termination
You may delete your account at any time through your account settings. We reserve the right to suspend or terminate accounts that violate these Terms or applicable law. Upon termination, your right to use the Services will immediately cease. Provisions that should reasonably survive termination, such as intellectual property and limitation of liability clauses, will remain in effect.
3 – Subscription and Billing
SeekFirst offers paid subscription tiers. Paid plans provide additional features and are billed monthly or annually. Payments are processed securely through Stripe. You authorize us to charge your selected payment method for subscription fees, taxes and any additional token purchases. Fees are non‑refundable except as required by law.
3.1 Cancellation and Downgrades
You may cancel or downgrade your subscription at any time via your billing settings. Cancellations take effect at the end of the current billing period. Access to premium features continues until the end of that period.
3.2 Price Changes
We may change subscription fees by providing at least 30 days’ notice. If you disagree with the new fees, you may cancel your subscription before the changes take effect.
4 – Acceptable Use Policy
You agree not to misuse the Services. In particular, you will not:
- Use SeekFirst for unlawful purposes or in violation of any local, national or international law.
- Infringe upon intellectual‑property rights or upload materials for which you do not have the necessary rights.
- Upload malicious code, viruses or any software that could damage, disable or impair our systems.
- Attempt to gain unauthorized access to our servers or other user accounts.
- Scrape, crawl or harvest data from the platform without our explicit permission.
- Use automated tools or bots to access our services.
- Abuse or misuse AI features to generate harmful, abusive or misleading content.
- Share or resell your account or subscription with others.
We reserve the right to investigate and take appropriate legal action against anyone who violates this policy, including terminating accounts and reporting violations to law enforcement authorities.
5 – Content & Intellectual Property
5.1 Our Content
All content on SeekFirst—including text, graphics, logos, software, AI prompts and models—is owned by SeekFirst or our licensors and is protected by copyright, trademark and other intellectual‑property laws. You may not copy, modify, distribute, transmit, broadcast, display, sell or create derivative works without our written permission.
5.2 Your Content
You retain ownership of the content you create in SeekFirst, including tasks, notes, documents and other work‑related materials. By uploading or creating content, you grant us a limited, non‑exclusive license to store, display and process that content to provide our Services. You are responsible for backing up your content. We may delete inactive accounts (no login for 24 months) after providing notice.
5.3 AI‑Generated Content & Suggestions
SeekFirst may include AI‑powered features that generate suggestions, summaries or other content to help you prioritize tasks and collaborate with your team. AI‑generated output is provided for your convenience and may not always be complete or accurate. You are responsible for reviewing and verifying any AI suggestions before acting on them. SeekFirst disclaims liability for decisions made based on AI‑generated content.
6 – Third‑Party Services
SeekFirst integrates with a number of third‑party services, including but not limited to Google (authentication), Microsoft (authentication), Stripe (payments), OpenRouter (AI models), analytics providers and email delivery services. Your use of these third‑party services is subject to their respective terms. We are not responsible for the contents or practices of these services. If you revoke OAuth access or disconnect a third‑party integration, some features may no longer work.
7 – Disclaimers & Limitation of Liability
7.1 Service Provided “As Is”
SeekFirst is provided on an “as‑is” and “as‑available” basis. We make no warranties, express or implied, regarding the reliability, availability or fitness for a particular purpose of the Services. We do not guarantee that the Services will be error‑free or uninterrupted.
7.2 Limitation of Liability
To the maximum extent permitted by law, SeekFirst shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or use, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid for the Services.
7.3 Productivity Disclaimer
SeekFirst provides tools and information to help you organize your work, focus on priorities and collaborate with your team. We do not guarantee that our Services or AI‑generated suggestions will improve productivity or produce specific outcomes. You remain responsible for your own decisions and the results of your actions when using SeekFirst.
8 – Indemnification
You agree to indemnify and hold harmless SeekFirst, its affiliates, officers, directors, employees and agents from any claims, damages, liabilities, losses and expenses (including attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms or any content you post or share through the Services.
9 – Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to conflict‑of‑law principles. Any legal action arising out of these Terms shall be filed exclusively in the federal or state courts located in Ohio.
10 – Modifications to the Terms
We may modify these Terms at any time. We will notify you of significant changes via email or by posting a notice on our website. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
